Dielectric Communications ME—<%=company%>, a unit of SPX Corporation, today announced it has signed a definitive agreement to purchase TCI International, Inc. (TCI). The transaction is subject to approval by the shareholders of TCI.

Dielectric's acquisition of TCI further broadens Dielectric's varied product offerings to U.S. broadcasters for TV and FM products and international broadcasters in the High Frequency and Medium Frequency spectrum. The addition of TCI also brings Dielectric into the field of signal processing, which includes spectrum monitoring and management, direction finding, signal collection and specialized products for military and communications intelligence customers.

Dielectric will continue to operate the TCI facility in Fremont, California.

According to Lewis Kling, President of Dielectric, "With 70% of their sales generated outside the US, the addition of TCI to Dielectric's group will offer an opportunity for significant growth worldwide. We also look forward to adding signal processing products, systems and services to the diverse products that we currently offer."

"We are excited about joining Dielectric and what it means to our customers. The technology, manufacturing, and marketing synergies of our two companies provide a new level of service to the global RF community," says John W. Ballard III, President and CEO of TCI.

TCI is a developer of broad-bandwidth products, systems and applications for broadcasting, spectrum management, communication intelligence collection, and specialty radio communications.
